Advertising Agreement for Microsoft Ads

This Advertising Agreement ("Agreement") governs the terms under which AMERICAN KENNEL CLUB COMPANION ANIMAL RECOVERY CORPORATION ("Advertiser," "we," "us," or "our") agrees to advertise its products and services through Microsoft Ads. By participating in Microsoft Ads, you agree to comply with this Agreement and all applicable Microsoft Advertising Policies.

2. Scope of Advertising

We agree to use Microsoft Ads to promote our products and services available on our website: https://www.akccareunite.com/ . The advertisements will focus on companion animal recovery and related services.

3. Compliance with Microsoft Advertising Policies

We agree to fully comply with Microsoft's Advertising Policies, including but not limited to:

• Prohibited Content: We will not advertise content that is illegal, misleading, or violates Microsoft’s policies, such as gambling, adult content, or counterfeit goods.
• Data Privacy: We will adhere to Microsoft’s privacy requirements and ensure that all data collected through advertising complies with applicable laws, including GDPR and CCPA.
• Intellectual Property: We will not infringe on any third-party intellectual property rights in our advertisements.
• Transparency: All advertisements will clearly represent our business and the products/services offered.

4. Advertiser Responsibilities

As the Advertiser, we agree to:

• Provide accurate and up-to-date information about our business, including our contact details and tax identification number (EIN: 13-3904402).
• Ensure that all landing pages linked from our advertisements are functional, secure, and compliant with Microsoft’s policies.
• Monitor the performance of our ads and make necessary adjustments to ensure compliance and effectiveness.
• Respond promptly to any inquiries or notices from Microsoft regarding our advertisements.

5. Payment Terms

• We agree to pay Microsoft Ads for advertising services based on the agreed-upon pricing model (e.g., cost-per-click, cost-per-impression).
• Payments will be processed through the payment method specified in our Microsoft Ads account.
• Any disputes regarding billing must be raised within 30 days of the invoice date.

6. Data Usage and Privacy

• Data Collection: We will only collect data from users who interact with our advertisements in accordance with applicable privacy laws and Microsoft’s policies.
• User Consent: We will obtain explicit consent from users before collecting or using their personal information.
• Third-Party Sharing: We will not share user data with third parties unless required by law or with the user’s consent.

7. Indemnification

We agree to indemnify, defend, and hold harmless Microsoft and its affiliates from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

• Our violation of this Agreement or Microsoft’s Advertising Policies.
• Any content or materials used in our advertisements.
• Any breach of privacy or data protection laws by us.

8. Limitation of Liability

To the fullest extent permitted by law:

• Microsoft is not liable for any indirect, incidental, special, or consequential damages arising from our use of Microsoft Ads.
• Our total liability for any claims related to this Agreement is limited to the amount paid to Microsoft for advertising services during the preceding 12 months.

9. Termination

• Either party may terminate this Agreement at any time by providing written notice to the other party.
• Upon termination, we agree to cease all advertising activities through Microsoft Ads and remove any non-compliant advertisements.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the courts located in King County, Washington.
